These Terms & Conditions ("Terms") govern your access to and use of ventrasciences.com (the "Website") and any purchase you make from Ventra Sciences ("Ventra Sciences," "we," "us," or "our"). By accessing the Website or placing an order, you agree to be bound by these Terms, our Privacy Policy, and our Research Disclaimer. If you do not agree, do not use the Website or purchase our products.
2. Company Overview
Ventra Sciences operates as a supplier of research-grade chemical reference materials. We are not a pharmacy, compounding pharmacy, outsourcing facility, or medical supplier. All products are sold exclusively as research-use-only (RUO) laboratory compounds for in vitro scientific research.
3. Eligibility & Age Requirement
You must be at least 21 years of age to access the Website, create an account, or place an order. By using the Website, you represent and warrant that you meet this requirement and that you are a qualified researcher, laboratory professional, or an organization engaged in legitimate scientific research. We reserve the right to request proof of age, research credentials, or institutional affiliation at any time, and to refuse or cancel service for anyone who cannot satisfactorily verify eligibility.
4. Products & Intended Use
All products sold by Ventra Sciences are strictly research-use-only (RUO) laboratory compounds and have not been evaluated or approved by the U.S. Food and Drug Administration (FDA) for human or veterinary use. By purchasing, you acknowledge and agree that:
- Products are sold strictly for in vitro research and laboratory use.
- Products are not for human or animal consumption, injection, inhalation, ingestion, or any form of administration to a living organism.
- Products are not intended to diagnose, treat, cure, or prevent any disease, and are not for therapeutic, diagnostic, or clinical use.
- No information on the Website constitutes medical advice, dosing guidance, or a recommendation for human or animal use.
- You will comply with all applicable local, state, and federal laws governing the purchase, possession, handling, and use of these materials.
- You accept full responsibility for the proper handling, storage, use, and disposal of all materials.
5. Accounts
You may create an account to place orders and track purchases. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate, current information and to update it as needed. Notify us immediately at support@ventrasciences.com if you suspect unauthorized access.
6. Orders, Pricing & Availability
- All prices are in U.S. dollars and exclude applicable taxes. Prices are subject to change without notice.
- All orders are subject to acceptance and availability. We reserve the right to refuse or cancel any order at our sole discretion — including for suspected misuse, pricing or technical errors, fraud, quantities exceeding reasonable research use, or inventory issues.
- An order may be edited or cancelled within two hours of placement by emailing support@ventrasciences.com. After that window, orders are queued for fulfillment.
- If we cancel an order before fulfillment, you will receive a full refund of any amount charged.
- Product images are representative; minor variation in label, vial, or packaging may occur.
7. Payment
Payment is due at the time of purchase. You authorize us to charge your selected payment method for the total order amount. All transactions are processed by PCI-DSS-compliant third-party payment processors. By providing payment information, you represent that you are authorized to use the payment method.
8. Shipping & Delivery
- We ship to addresses within the United States only, via FedEx 2-Day cooled service.
- Orders placed before 12 PM CST on a business day are processed the same day; others are processed the next business day.
- Shipping times are estimates and are not guaranteed. We are not responsible for delays caused by carriers, weather, customs, or other circumstances beyond our control.
- Every order ships in discreet, unbranded, tamper-evident packaging with no external indication of contents.
9. Risk of Loss
Title and risk of loss for all products pass to you upon delivery of the products to the carrier.
10. Returns & Refunds
- Unopened, sealed, and unused research solutions may be returned within 30 days of delivery for a refund to the original payment method, minus original shipping.
- Opened, reconstituted, or partially used products cannot be returned for sterility and research-integrity reasons.
- Damaged, incorrect, or mislabeled products must be reported within 7 days of delivery with photographic evidence; we will replace the item at no cost or issue a refund at our discretion.
- Approved refunds are issued within 5–10 business days of our receipt and inspection of the return.
- Except where the return is due to our error, return shipping is the buyer's responsibility. We do not offer refunds for change of mind once the return window has passed, or for improper storage, handling, or reconstitution after delivery.
11. Prohibited Conduct
You agree not to:
- Use the Website or products for any unlawful purpose, or in violation of any applicable law or regulation.
- Misrepresent your identity, affiliation, or eligibility.
- Represent, market, label, or resell any product as suitable for human consumption, therapeutic use, or veterinary application.
- Resell, redistribute, or transfer products to unqualified individuals or without our written authorization.
- Interfere with, disrupt, or attempt to gain unauthorized access to the Website or its servers, or use automated means to access or scrape the Website.
- Discuss, promote, solicit, or engage in any practice of human or animal dosing of products purchased from Ventra Sciences — whether through the Website, customer communications, social media, or any other channel.
Violation of any of the above — and in particular any discussion or practice of human or animal dosing — may result in immediate termination of your account, cancellation of pending orders, forfeiture of any affiliate commissions, and a permanent ban from Ventra Sciences services, at our sole discretion.
12. Affiliate & Referral Program
Ventra Sciences may offer an affiliate or referral program ("Program"). Eligibility, commission rates, qualifying purchases, and payout thresholds are determined by Ventra Sciences at its sole discretion and may be modified or revoked at any time without notice. By participating, you agree that:
- Commissions are paid only on delivered, non-refunded orders. Self-referrals and fraudulent or misleading referral activity are prohibited and may result in withheld or forfeited payouts.
- You are solely responsible for all content, advertising, claims, and representations you make in connection with the Program. We do not endorse affiliate content, and all of it must comply with these Terms — including the prohibitions on health claims, dosing information, and representations of human or animal use.
- You must comply with all applicable laws, including FTC disclosure requirements. Affiliate links and promotions must not imply that products are intended for any purpose other than laboratory research.
- We may suspend or terminate your participation at any time, for any reason; upon termination, unpaid commissions may be forfeited.
13. Intellectual Property
All content on the Website — including text, graphics, logos, brand assets, product images, page designs, and software — is the property of Ventra Sciences or its licensors and is protected by U.S. and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.
14. Compliance Monitoring
We reserve the right to monitor purchasing patterns, order frequency, and account activity to ensure compliance with these Terms and applicable laws. Accounts exhibiting activity inconsistent with legitimate research use may be suspended or terminated at our sole discretion, without notice.
15. Assumption of Risk
You expressly acknowledge and agree that your purchase, possession, handling, storage, and use of any product from Ventra Sciences is at your sole and exclusive risk. Ventra Sciences sells research chemicals intended solely for in vitro laboratory use.
By purchasing any product, you voluntarily assume all risks associated with the product, including but not limited to risks arising from improper storage, handling, contamination, degradation, misuse, or any application of the product to any human or animal. You waive any and all claims against Ventra Sciences arising from your use or misuse of products to the fullest extent permitted by law.
16. Disclaimer of Warranties
The Website and all products are provided "as is" and "as available" without warranties of any kind, express or implied. To the fullest extent permitted by law, Ventra Sciences disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
We make no warranty that products will meet your specific research requirements or produce any particular results, that product quality, purity, or composition will remain unchanged after delivery, or that the Website will be uninterrupted, secure, or error-free. Certificates of Analysis (COA) reflect testing results at the time of analysis and do not constitute a warranty of fitness for any specific application.
17. Limitation of Liability
To the maximum extent permitted by law, Ventra Sciences and its owners, officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the Website or purchase of products — including, without limitation, personal injury, illness, death, property damage, loss of profits, or loss of data.
Our total aggregate liability for all claims arising under or related to these Terms shall not exceed the amount you paid to Ventra Sciences for the specific product(s) giving rise to the claim. This limitation applies regardless of the theory of liability and even if Ventra Sciences has been advised of the possibility of such damages.
18. Indemnification
You agree to indemnify, defend, and hold harmless Ventra Sciences and its owners, officers, directors, employees, agents, and affiliates (the "Indemnified Parties") from and against any and all claims, demands, damages, losses, liabilities, judgments, settlements, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use, misuse, or handling of any products — including any personal injury, illness, death, or property damage resulting from the administration, injection, ingestion, or application of products to any human or animal.
- Any statements, claims, or advice you make to any third party regarding Ventra Sciences products, including health claims, weight-loss claims, therapeutic benefits, or dosing recommendations.
- Any advertising, marketing, social-media content, reviews, or promotional materials you create or distribute that reference Ventra Sciences products, whether as a customer, affiliate, or otherwise.
- Your violation of these Terms, applicable laws, or third-party rights.
- Any regulatory action, investigation, or enforcement proceeding brought against Ventra Sciences as a result of your actions, statements, or use of products.
This obligation survives termination of your account and these Terms. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, at your expense, and you agree not to settle any such matter without our prior written consent.

Termination does not relieve you of any obligations under these Terms, including indemnification.
20. Dispute Resolution & Arbitration

Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Website, or any products purchased from Ventra Sciences shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, before a single arbitrator seated in the State of Wyoming.
Class-Action Waiver: You agree that any dispute-resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class-action lawsuit or class-wide arbitration against Ventra Sciences.
Exceptions: Either party may bring an individual action in small-claims court within its jurisdictional limits, and nothing here prevents Ventra Sciences from seeking injunctive or equitable relief to protect its intellectual property or prevent irreparable harm. By agreeing to these Terms, you acknowledge that you are waiving your right to a trial by jury and to participate in a class action.
21. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict-of-law provisions. To the extent litigation is permitted under these Terms, any legal proceedings shall be brought exclusively in the state or federal courts located in the State of Wyoming, and you consent to the personal jurisdiction of those courts.
22. SMS / Messaging Terms
When you opt in to our messaging service, we will send a message to confirm your sign-up. By opting in, you agree to receive recurring automated marketing and informational text messages from Ventra Sciences at the mobile number you provide, sent using an automatic telephone dialing system. Your consent to receive marketing messages is not a condition of purchase.
- Frequency: Message frequency varies. We may change the frequency, short code, or sending number at any time.
- Rates: Message and data rates may apply. Contact your mobile provider with questions about your plan. Carriers are not liable for delayed or undelivered messages.

We may update these Terms at any time. Changes are effective upon posting to the Website with an updated "Last updated" date. Your continued use of the Website after changes constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
24. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that finding shall not affect the validity of the remaining provisions, which shall continue in full force and effect.
